1. Acceptance of these terms

These Terms of Service ("Terms") are a legal agreement between you and Underhill Software LLC ("Underhill Software", "we", "us", or "our"), a limited liability company registered in the Commonwealth of Virginia, United States. They govern your access to and use of the Tuhdun mobile application, the website at tuhdun.com, and any related services we provide (collectively, "the Service").

By using the Service, you agree to these Terms. If you do not agree, do not use the Service. This is a pre-release draft that will be updated and re-issued before the App is made available to the public.

2. Who can use the Service

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. The Service is not directed to or intended for children under 13.

By using the Service, you represent that you have the legal capacity to enter into these Terms.

3. Your account

To use most features of the Service, you will need to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Notify us promptly at admin@tuhdun.com if you believe your account has been compromised or used without your authorization.

4. Acceptable use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party right
Harass, threaten, defame, or otherwise harm another person
Share content that is unlawful, abusive, deceptive, fraudulent, or infringes intellectual property rights
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems
Use the Service to send unsolicited commercial communications
Scrape, copy, or otherwise extract content or data from the Service except as expressly permitted
Reverse engineer, decompile, or attempt to extract source code, except where such action is permitted by applicable law
Use automated systems (bots, scrapers, etc.) to interact with the Service except as we explicitly permit

We may, in our reasonable discretion, suspend or terminate access to the Service for any conduct that we believe violates these Terms or harms other users, third parties, or the Service itself.

5. Your content

The Service lets you create and share content — activities, ideas, events, notes, locations, proposed dates, and similar material ("Your Content"). You retain ownership of Your Content.

By submitting Your Content to the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, and adapt Your Content solely to the extent necessary to operate the Service for you and the other users you choose to share with. This license ends when you delete Your Content from the Service or when your account is terminated, except to the extent we are required to retain copies for legal, security, or backup purposes.

You represent that you have the right to share any content you upload, and that doing so does not violate the rights of any third party or any law.

6. AI-assisted features

The Service uses third-party artificial intelligence systems (currently Anthropic's Claude API, with OpenAI's models as a backup provider) to extract structured information from content you share. AI-generated output may be inaccurate, incomplete, or unexpected. You are responsible for reviewing AI-generated output before relying on it. We do not warrant the accuracy of AI-generated content.

7. Subscriptions, in-app purchases, and free tier

When the App is available to the public, we expect to offer a free tier with usage limits and one or more paid subscription tiers with expanded features. Paid subscriptions, when available, will be processed through the Apple App Store and Google Play in accordance with their respective billing policies. We will publish current pricing and subscription terms in the App and on this website before they become effective.

Apple and Google handle all subscription payments, renewals, and refunds. Cancellations and refund requests should be directed to the platform where the subscription was purchased.

Pro-tier "unlimited" features will be subject to a fair-use cap to prevent abuse. Details will be disclosed in the App and on this website before pricing becomes active.

8. Intellectual property

The Service, including the Tuhdun software, website, designs, trademarks, and all accompanying materials, is owned by Underhill Software LLC and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights in and to the Service.

"Tuhdun" and the Tuhdun design marks are trademarks of Underhill Software LLC. You may not use these marks without our prior written consent.

9. Termination

You may stop using the Service at any time and may request deletion of your account through the App (when account creation is available) or by emailing admin@tuhdun.com.

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or that continued access poses a risk to other users, the Service, or us. Sections of these Terms that by their nature should survive termination (including sections on ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, or that any information made available through the Service will be accurate or complete.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Underhill Software LLC, its members, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to us for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100).

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Underhill Software LLC and its members, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Content; or (c) your violation of any law or the rights of any third party.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Virginia, and you consent to the jurisdiction of those courts.

This section will be revised in version 1.0 of these Terms to include a binding arbitration provision and class-action waiver, after attorney review. The pre-release draft preserves court jurisdiction to keep the policy intelligible to ordinary users.

14. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Effective date" at the top and post the revised Terms at this URL. When the App is in active use, material changes will also be communicated by email or in-App notification. Continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms.
